Terms of Service

These Terms of Service ("Terms") govern your access to and use of Adspoty, a classified advertising and business directory platform operated by Adspoty ("we", "us", "our"). By creating an account, posting content or using the service, you agree to these Terms. If you don't agree, don't use the service.

1. The service

Adspoty is a venue that connects buyers and sellers. We host listings, messaging, offers and payment facilitation, but we are not a party to transactions between members. We don't own, inspect, warrant or ship the items listed, and we don't guarantee the accuracy, legality or quality of any listing. Sellers alone are responsible for their items, prices, descriptions and delivery; buyers alone are responsible for verifying what they purchase.

2. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract. You're responsible for keeping your password secure and for all activity under your account. One person or business per account; don't share credentials. You must provide accurate registration information and keep it current. We may suspend or close accounts that violate these Terms, engage in fraud, or create risk for other members.

3. Membership plans and credits

Adspoty offers free and paid membership plans with benefits such as monthly credits, listing allowances, geographic coverage and promotion tools. Plan features and prices are shown on our Pricing page and may change with notice to active subscribers.

Credits purchased or granted through plans are a prepaid license to use platform features — they're not money, they don't earn interest, and they're non-transferable except as we explicitly permit. Unused credits may expire when a plan ends, per the plan's terms. Refunds for unused credits are at our discretion, except where required by law.

4. Your listings

By posting a listing you represent that: you have the legal right to sell what you list; the item isn't prohibited by law or by our policies; and your description, photos and price are accurate and not misleading. You grant Adspoty a worldwide, non-exclusive license to display and distribute your listing content on the platform for as long as you keep it published (or as needed to promote the platform), including on category, search, landing and social surfaces.

Prohibited listings include: illegal goods and services; weapons; drugs and controlled substances; counterfeit or unauthorized goods; adult content; hazardous materials; live or endangered animals; financial schemes; hacked or counterfeit accounts; anything that infringes intellectual property; and misleading, discriminatory or fraudulent offers. We remove prohibited content and may act against repeat offenders.

5. Buying and selling

Transactions are between members. Sellers set prices and accept or decline offers. Accepted offers and purchases may be completed through Adspoty's checkout, where available, or arranged directly between the parties. Where checkout is used, Adspoty facilitates the payment through a licensed payment processor and may charge the seller a commission as disclosed at the point of sale.

Disputes about an item — condition, delivery, quality — should be resolved between buyer and seller first. Adspoty's support team mediates where it can, but we don't guarantee outcomes and we're not an escrow service unless explicitly stated for a given checkout flow. Chargebacks and payment disputes are handled by the payment processor under its rules.

6. Fees and payments

Paid features are billed through Stripe-hosted checkout. We never see or store your full card number. Fees are due when incurred and are non-refundable except as required by law or stated in a specific feature's terms. Promotions run for the period purchased and don't roll over automatically. We may change prices for future purchases; changes never apply retroactively to what you already bought.

7. Acceptable use

You agree not to: scrape, crawl or harvest the service without permission; interfere with or overload our infrastructure; circumvent security or access controls; impersonate others; post spam, phishing links, malware or misleading ads; manipulate reviews, ratings or search ranking; harass other members; or use the service for any unlawful purpose. Automated access is only permitted through our published interfaces.

8. Moderation and enforcement

We may review, edit, hide, suspend or remove any listing, and restrict, suspend or ban any account, when we reasonably believe these Terms or the law are being violated. Automated scans and member reports inform this work. Enforcement actions may be appealed by contacting support. Where the law requires notice, we'll provide it.

9. Disclaimers

The service is provided "as is" and "as available". To the fullest extent permitted by law, Adspoty disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don't warrant the service will be uninterrupted, error-free or secure, and we don't endorse any member, listing or transaction.

10. Limitation of liability

To the fullest extent permitted by law, Adspoty's total liability arising out of or relating to the service is limited to the greater of (a) the amount you paid us in the 12 months before the claim, or (b) one hundred US dollars. We're not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost data or lost opportunities, however caused.

11. Indemnification

You'll defend and indemnify Adspoty against claims, damages and expenses (including reasonable legal fees) arising from your content, your use of the service, or your violation of these Terms or any law.

12. Termination

You may close your account at any time from your settings. We may suspend or terminate access for conduct that violates these Terms or creates legal risk. Sections that by nature should survive termination (licenses already granted, disclaimers, limitations, indemnities, governing law) do survive.

13. Changes to these Terms

We may update these Terms; the effective date at the top will change and material updates will be announced on the platform or by email to members. Continued use after changes take effect means you accept the updated Terms.

14. Governing law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Any dispute will be brought exclusively in the state or federal courts located in Travis County, Texas — unless applicable consumer law gives you the right to sue where you live.
